Terms of Service

These Terms of Service ("Terms") are a binding legal agreement between you ("you," "Customer") and HeyMyra Inc., a Delaware corporation ("Myra," "we," "us," "our"). They govern access to and use of the Myra platform, its websites, sub-domains, whitelabel domains, mobile experience, APIs, integrations and any related services (together, the "Service"). By creating an account, signing in, clicking "I agree," or using the Service you accept these Terms and our Privacy Policy, Acceptable Use Policy, Refund Policy, Data Processing Addendum and Service Level Statement. If you do not accept them, you must not use the Service.
1. The Service
Myra is a hosted, all-in-one CRM, communications and automation platform. Depending on your plan and configuration it may include voice calling, SMS/MMS, email, WhatsApp and social channels, calendars, booking pages, forms, pipelines, contracts and e-signatures, payments and invoicing, AI assistants and automations, and business whitelabel tooling. Features, limits, prices and third-party integrations may be added, changed, deprecated or removed at our sole discretion. We will use commercially reasonable efforts to give notice of materially adverse changes.
2. Accounts & Eligibility
- You must be at least 18 years old and legally able to contract.
- You are responsible for the accuracy of your account information, for maintaining the confidentiality of your credentials (including MFA), and for all activity under your account - including acts of your team members, sub-users, resellers, agents and API integrations.
- You will notify us immediately of any suspected unauthorised access.
- We may refuse service, suspend or terminate any account at any time, with or without notice, where we reasonably believe it is necessary to protect the Service, our users, our providers or our lawful interests.
3. Business & Client Model
Myra may be resold by partner businesses to their own clients as clients, optionally under a whitelabel brand or custom domain. If you access the Service through a business, the business is your primary point of contact for support, billing and configuration and controls certain feature and data settings for your workspace. These Terms nonetheless apply directly between you and Myra with respect to your use of the underlying platform, and prevail over any inconsistent terms offered by a business.
4. Billing, Wallet & Auto-Recharge
All fees are stated and payable in US dollars via Stripe, are exclusive of taxes (unless stated otherwise), and are non-refundable in all circumstances, except where a refund is required by non-waivable law. Without limitation, no refund, credit or pro-rated adjustment is given for unused time, downgrades, cancellations mid-term, unused features, unused AI credits or wallet balances, or for any period in which any feature (including calling, live transfers, messaging, email or AI) is unavailable, degraded or interrupted. - Subscriptions renew automatically for successive terms until cancelled. Cancellation takes effect at the end of the then-current billing period; you remain liable for all fees accrued up to that point.
- Telephony, messaging & AI usage is funded from a prepaid workspace wallet at the rates displayed in-app. Unfunded workspaces may be blocked from outbound usage without liability to us.
- Auto-Recharge, if enabled, authorises us and Stripe to charge your saved payment method to top up your wallet whenever your balance falls below the threshold you set. You authorise recurring charges until you disable Auto-Recharge.
- Taxes. You are responsible for all taxes, duties and levies associated with your purchases, other than taxes on our net income. Where Stripe collects tax on our behalf, that does not shift responsibility for taxes we cannot collect.
- Price changes. We may change subscription pricing, telephony rates, AI credit rates, carrier surcharges, and other fees at any time to reflect provider costs, regulatory charges, currency movements or business needs. Changes take effect on the next billing cycle or, for usage-based charges, on the effective date shown in-app.
- Overdue amounts accrue interest at 1.5% per month (or the maximum allowed by law) and may result in suspension or termination. You will reimburse us for reasonable costs of collection.
- Chargebacks & disputes. You agree to contact us first before initiating any chargeback. Fraudulent or bad-faith chargebacks are a material breach and may result in immediate termination and cost recovery.
5. SMS, A2P 10DLC & Consent
You are solely responsible for compliance with the TCPA, CAN-SPAM, CTIA Messaging Principles & Best Practices, A2P 10DLC registration, carrier requirements, and equivalent laws in every recipient jurisdiction. You represent and warrant that every recipient you message has given prior express consent adequate under applicable law, that you will honour opt-outs, and that you will not send restricted content (including SHAFT categories where prohibited, illegal substances, phishing, or high-risk financial content). We provide tooling to help you comply, but we do not audit your consent records and we make no warranty of compliance. You will indemnify us for any claim arising out of your messaging activity, including regulator or carrier fines.
6. Voice Calls & Recording
You are solely responsible for compliance with all applicable call-recording, wiretapping and consent laws (including two-party consent states and equivalent international laws) when using our voice, bridging, voicemail and AI transcription features. Configure recording announcements and per-number settings appropriately. We are not liable for your failure to obtain consent.
7. Email
You must comply with the CAN-SPAM Act, GDPR/UK GDPR (where applicable), and other applicable laws when using Myra for email - including accurate sender identification, valid postal address, honouring unsubscribes, and only emailing recipients with an appropriate lawful basis.
8. Payments Collected Through Myra
Where you use Myra to collect payments from your own customers, Stripe processes the transactions under its own terms and we act only as a technical facilitator. You are the merchant of record for those transactions and are responsible for product descriptions, delivery, refunds, chargebacks, taxes and disputes. Card data never touches Myra's servers.
9. AI Features
- AI-generated content (transcripts, summaries, drafts, suggested replies, proposals, automations) is provided "AS IS" and may contain errors, hallucinations, omissions or offensive content. You must review AI output before relying on or sending it. We are not liable for outcomes based on AI output.
- AI features consume credits from your workspace allowance; overages and top-ups may apply and are non-refundable once consumed.
- End-users interacting with AI features may be communicating with automation rather than a person; you are responsible for any disclosures required by law.
- We do not use your CRM data, message content or call recordings to train general-purpose AI models, but we may use aggregated, de-identified telemetry to operate and improve the Service.
10. Meta / Facebook / Instagram / WhatsApp Integration
- You must comply with Meta's Terms of Service and the Meta Platform Terms.
- You must have the right and permission to connect the business accounts you connect and to use automated messaging on them.
- Myra is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc., Stripe, our telephony providers, or any other third-party provider.
- We are not responsible for third-party provider outages, policy changes, account suspensions, or price changes.
11. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Violations may result in immediate suspension or termination without refund and without prior notice.
12. Customer Content & Licence to Us
You retain ownership of content you upload, transmit, generate or configure in your workspace ("Customer Content"). You grant Myra a worldwide, royalty-free, sub-licensable licence to host, copy, transmit, process, display and otherwise use Customer Content solely as necessary to operate, secure, support and improve the Service for you and to comply with law. You represent and warrant that you have all rights, consents and permissions necessary for us to process Customer Content as contemplated by these Terms, and that Customer Content does not infringe any third-party right or violate any law.
13. Our Intellectual Property
The Myra platform - including software, design, look-and-feel, logos, trademarks, documentation, templates, prompts, models and all improvements - is and remains the exclusive property of HeyMyra Inc. and its licensors. No rights are granted except the limited, revocable, non-exclusive, non-transferable right to access and use the Service in accordance with these Terms. You will not (and will not permit any third party to): (a) copy, modify, translate, or create derivative works of the Service; (b) reverse-engineer, decompile, disassemble or otherwise attempt to derive source code; (c) rent, lease, resell, sublicense or timeshare the Service except through our approved business programme; (d) remove proprietary notices; (e) use the Service to build a competing product or benchmark it without our prior written consent; or (f) scrape, mirror or index the Service.
14. Feedback
If you provide feedback, ideas or suggestions ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, exploit and incorporate the Feedback into the Service without obligation or compensation to you.
15. Suspension & Termination
You may cancel your subscription at any time from your billing settings. We may suspend or terminate your access, in whole or in part, immediately and without liability where: (a) you breach these Terms or our policies; (b) your use presents a security, legal, reputational or fraud risk; (c) a payment fails or is overdue; (d) a third-party provider requires it; or (e) required by law. On termination all rights granted to you cease, outstanding fees become immediately due, and we may delete your data after the retention period set out in the Privacy Policy. Sections 4, 8, 12–20 and any provisions that by their nature should survive will survive termination.
16. Availability, Downtime & No Refunds for Interruptions
The Service is provided on an "as available" basis. We do not guarantee uninterrupted or 100% availability. Myra depends on third-party infrastructure and providers - including hosting and database providers, telephony and SMS carriers, email providers, AI model providers, payment processors and integration partners - and those providers can suffer outages, degradation, maintenance, rate limiting, routing faults or policy changes that are outside our reasonable control.
This means features may be temporarily unavailable or degraded from time to time, including (without limitation) outbound and inbound calling, live transfers, browser dialling, voicemail detection, SMS/MMS and messaging, email sending, AI features, integrations and reporting. Voicemail and answering-machine detection is probabilistic and may misclassify calls, particularly where handsets use AI call screening or personalised greetings.
We take availability seriously and will always endeavour to restore any affected feature as quickly as possible, and to keep the platform as reliable as we can, because we want our customers to have the best possible experience. However, to the maximum extent permitted by law: (a) downtime, degradation, delay, misrouting, misclassification or failure of any feature is not a breach of these Terms; (b) no service credits, refunds, partial refunds, pro-rated adjustments or compensation of any kind are due for such periods; and (c) subscription and usage fees continue to accrue and remain payable in full. We may also perform scheduled or emergency maintenance, and may modify, suspend or discontinue any feature at any time, without liability.
17. Disclaimers
THE SERVICE, INCLUDING ALL AI FEATURES, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. WE DO NOT WARRANT THAT AI OUTPUTS WILL BE ACCURATE, RELIABLE, LAWFUL, OR FIT FOR ANY PURPOSE. YOU USE THE SERVICE AT YOUR OWN RISK.
18. Limitation of Liability
- TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYRA, HEYMYRA INC., AND OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PROVIDERS AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL OR ANTICIPATED SAVINGS, EVEN IF ADVISED OF THE POSSIBILITY.
- OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.
- WE ARE NOT LIABLE FOR ACTS, OMISSIONS OR OUTAGES OF THIRD-PARTY PROVIDERS (INCLUDING STRIPE, TELEPHONY PROVIDERS, META, EMAIL AND AI PROVIDERS), FOR CARRIER FILTERING OR REJECTION OF MESSAGES, OR FOR ANY LOSS ARISING FROM YOUR NON-COMPLIANCE WITH LAW.
- THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STATUTE OR OTHERWISE) AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.
19. Indemnification
You will defend, indemnify and hold harmless HeyMyra Inc. and its officers, directors, employees, agents, licensors and providers from and against any and all claims, damages, liabilities, losses, fines, judgments and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) Customer Content; (c) your violation of these Terms, the Acceptable Use Policy or any law (including TCPA, CAN-SPAM, wiretap, privacy and consumer-protection laws); (d) your infringement of any third-party right; (e) your relationship with your own end-users or customers; or (f) any dispute between you and a third-party provider. We may assume the exclusive defence and control of any matter subject to indemnification, at your expense.
20. Governing Law, Venue & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware for any dispute not subject to arbitration. Each party waives any right to a jury trial and, to the maximum extent permitted by law, waives any right to bring or participate in a class action, consolidated action or representative action against the other. Any claim must be brought within one (1) year after it accrues or be permanently barred.
21. Changes to these Terms
We may update these Terms from time to time. The "Last Updated" date will reflect the most recent revision. Continued use of the Service after an update constitutes acceptance. If you do not accept an update you must stop using the Service.
22. General
- Entire agreement. These Terms, together with the policies referenced above, are the entire agreement between the parties and supersede any prior agreement.
- No waiver. Failure to enforce a right is not a waiver of it.
- Severability. If any provision is unenforceable, the remaining provisions remain in effect.
- Assignment. You may not assign these Terms without our prior written consent; we may assign freely, including in connection with a merger, acquisition or sale of assets.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
- Notices. We may give notice by email to your account address or in-app; you may give notice to contact@heymyra.ai.
- Relationship. The parties are independent contractors. Nothing creates a partnership, business or employment relationship.
